Sales teams from both companies will offer Clean Energy's natural gas fueling station construction and operational services to current and potential customers.

Freight co. has been working with the two principal locomotive manufacturers, GE and EMD, a unit of Caterpillar, to develop the natural gas engine technology that will be used in the pilot.

The $150-million investment is in the form of 7.50 percent convertible notes due in 2016. The notes will be convertible into shares of Clean Energy common stock at $15 per share. The closing of the investment is scheduled to occur on or before Aug. 30, 2011 and is subject to customary conditions.

The LNG fuel supplied is converted on site at Sun Metro facilities to compressed natural gas fuel, which powers the Sun Metro fleet of 200 transit and paratransit buses.

Over the next three years, the agency plans to deploy 452 new CNG buses and 200 CNG paratransit vehicles as replacements for its current fleet of liquefied natural gas and diesel-powered models that began service in 1998.

Northstar is the recognized leader in LNG/LCNG (liquefied to compressed natural gas) fueling system technologies, including the manufacture of one of only two weights-and-measures certified LNG dispensers.

The three divisions provide waste collection and recycling services to residents and businesses in 55 California cities and communities.

Orders are from both current and new customers and are for a variety of vehicle configurations and propulsion systems, including 35-, 40- and 60-foot buses with clean diesel, diesel-electric hybrid, CNG and LNG.

The LNG is used directly to fuel certain buses as well as converted to CNG fuel, which is used to power the balance of the Sun Metro natural gas fleet that includes 144 natural gas buses, together with six diesel buses.
